This End User License Agreement (hereinafter referred to as the “Agreement”) governs your access to and use of the eezi Software and Services (collectively referred to as the “Software”), including any updates, upgrades, supplements, or additional services offered by the Company, unless other terms accompany such updates or services. This Agreement specifically applies to the eezi SaaS platform, web application, and progressive web applications available, collectively referred to as “eezi Apps.”
Please be aware that certain features, services, or applications within the Software may be subject to additional third-party terms depending on how you use our Software and Services and how your account is configured. If this Agreement contains terms related to features or services not available to your user account, those terms shall not apply.
CHANGES AND UPDATES
Eezi reserves the absolute right to modify, amend, or add new terms to this Agreement at any time. We may also modify, delete, add, or update features of the Software. Continued use of the Software by you shall be deemed as your consent to such changes, deletions, additions, and updates to the Software’s features.
If you access the Software for the purpose of a free trial, this Agreement will govern your use of the free trial version. Please note that free trial versions may have experimental features and may differ significantly from the commercially released version of the Software.
Notwithstanding anything to the contrary in this Agreement, free trial versions are provided “AS IS,” without any warranty, whether implied or expressed, and no warranties shall apply to these versions.
ACCEPTANCE OF TERMS
Agreement Acceptance: By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
Legal Capacity: You represent and warrant that you have the legal capacity and authority to enter into this Agreement on your behalf or of the entity you represent and that you are of the legal age to do so in your jurisdiction.
Updates and Revisions: You understand and agree that the Company may update, revise, or modify this Agreement from time to time. Any such updates or changes will be communicated to you through the Software or via email to the address you provided during registration. Your continued use of the Software after such updates constitutes your acceptance of the revised Agreement.
Review and Print: It is recommended that you periodically review this Agreement to ensure your continued compliance. You have the option to print or save a copy of this Agreement for your records.
No Implied Waiver: The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it at a later time.
1.1. Software: The “Software” refers to Eezi’s SaaS (Software-as-a-Serivce) suite, a comprehensive Human Resources and Payroll management system that offers services including, but not limited to, payroll automation, HRIS (Human Resources Information System), timekeeping, analytics, and a mobile app for convenient access.
1.2. User: “User” refers to any individual or entity that has registered and been granted access to the Software.
1.3 Company: “Company” refers to Eezi HR Technologies Corp., a software company based in the Philippines, providing the Software and Services under the terms and conditions outlined in this Agreement. The term “Company” also includes its affiliates, subsidiaries, and authorized representatives.
1.4 Agreement: “Agreement” refers to this End-User Rights Agreement, which governs the terms, conditions, and obligations between the User and the Company (Eezi HR Technologies Corp.) regarding the use of the Software and Services, including any updates, upgrades, supplements, or additional services, unless other specific terms accompany them.
2. USER OBLIGATIONS
2.1. Confidentiality: Users must maintain the confidentiality of their login credentials, including usernames and passwords, and must not share or disclose them to unauthorized individuals. The User is solely responsible for any activities that occur under their account.
2.2. Compliance: Users must comply with all policies and terms set forth by the Company, including but not limited to the acceptable and prohibited activities while using the Software.
2.3. Data Accuracy: Users are responsible for ensuring that all information, data, and content provided or uploaded to the Software is accurate, complete, and up-to-date. The Company shall not be responsible for any inaccuracies or errors in user-provided data.
3.1. Data Protection: the Company employs robust security measures, including encryption protocols, firewalls, access controls, and regular security audits, to safeguard user data from unauthorized access, disclosure, alteration, or destruction.
3.2. Data Sharing: The Company will not share user data with any third parties except when explicitly authorized by the customer or as required by applicable law. In cases where sharing is required by law, the Company will notify the affected customer if legally permissible.
3.3. Support Access: The Company will not access customer data unless explicitly requested by the customer for the purpose of providing technical support or resolving issues. Such access will be strictly controlled and monitored.
3.4. Breach Notification: In the event of a data breach that compromises the security or confidentiality of user data, the Company will promptly notify the affected customer in accordance with the data breach notification laws applicable in the Philippines.
5. SUBSCRIPTION AND PAYMENT
5.1. Subscription Fees: Users who subscribe to the Software’s services are subject to applicable subscription fees. Details regarding subscription fees, billing cycles, and payment methods can be found in the pricing plan provided by the Company.
5.2. Billing Terms: Payment for the subscription shall be made in accordance with the billing and payment terms specified by the Company.
6.1. Termination by User: The User may terminate this Agreement at any time by discontinuing the use of the Software and notifying the Company of their intention to terminate their account.
6.2. Termination by Company: The Company reserves the right to terminate this Agreement and suspend or terminate a user’s access to the Software for reasons including, but not limited to, non-payment of subscription fees, violation of terms and policies, or breach of data security.
SERVICE LEVEL AGREEMENT (SLA)
7.1. The Service Level Agreement (SLA), stipulated in the contract proposal, outlines the performance standards, response times, issue resolution procedures, and compensation terms regarding any service downtime or disruptions. Your use of the Software acknowledges your acceptance of the SLA terms.
8.1. Indemnification: The User agrees to indemnify and hold the Company, its officers, directors, employees, and affiliates harmless from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from their use of the Software or any violation of this Agreement.
9.1. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Moreover, any disputes arising out of or related to this Agreement shall be exclusively resolved by the appropriate courts in the Philippines.
10.1. Updates and Changes: Users will be notified of updates, changes, or modifications to the Software or this Agreement through email communication to the address provided during registration or through notifications within the Software.
